Welcome to WhisperTyping. By downloading, installing, or using WhisperTyping software ("the Software"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Contracting Entity
These Terms and Conditions ("Terms") govern your use of the software, services, websites and related materials provided by WhisperTyping ("Company", "we", "us", "our"). "Software" includes WhisperTyping and any associated apps, plug-ins, models, APIs, and documentation.
2. Acceptance of Terms
By downloading, installing, accessing, or using the Software, you agree to these Terms and our Privacy Policy. If you do not agree, do not download, install, access, or use the Software. Your continued use constitutes acceptance of any updated Terms.
3. Eligibility
You represent that you are at least 18 years old and have the legal capacity and authority to enter into these Terms on behalf of yourself or the entity you represent.
4. Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software for your internal purposes. You must not copy (except for a reasonable backup), modify, adapt, translate, reverse engineer (except to the extent permitted by non-excludable law), decompile, disassemble, or create derivative works from the Software.
4.1 Per-User Licence
Each subscription is licensed to a single individual. You may install and use the Software on multiple personal devices (e.g., your home computer and laptop), but only you—the account holder—may use the subscription. Sharing your account credentials or allowing others to use your subscription is prohibited.
4.2 Account Sharing Monitoring
We actively monitor for account sharing through technical means, including but not limited to concurrent usage patterns, device information, and IP address analysis. If we detect patterns consistent with account sharing, we reserve the right to suspend or terminate your account without refund.
4.3 Business and Team Use
If multiple people in your organisation require access to WhisperTyping, each user must have their own subscription. For team or enterprise licensing enquiries, please contact us.
5. Account & Access
You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account. You must not share your login credentials with others. You must promptly notify us of any unauthorised access or security incident.
6. Disclaimer (All Tiers)
You are responsible for independently verifying all outputs. Misrecognition or AI errors may occur. The Software does not provide medical, legal, financial or other professional advice. Do not rely on the Software as the sole basis for clinical or professional decisions.
To the maximum extent permitted by law, you release the Company from any and all claims, losses, or liabilities arising from clinical, professional, or high-risk use.
7. Data Handling
No storage of audio or transcripts: We do not permanently store your audio input or transcription text.
Usage logs: We keep limited technical logs (e.g. time of request, system status, feature usage) to maintain, secure, and improve the Software.
Exceptions where audio may be retained:
- If you explicitly submit audio/text as feedback for product improvement.
- If you use the mobile microphone feature (wireless microphone via mobile app), where audio must be transmitted and temporarily buffered for functionality.
Your responsibility: You must ensure you have all necessary rights and consents (including from data subjects) before processing personal or sensitive information through the Software.
8. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Software, you consent to such collection and use. Where required by law, you are responsible for providing notices and obtaining consents from end users.
9. Third-Party Services
The Software may interoperate with third-party services, models, or platforms. We are not responsible for third-party services and disclaim all liability arising from their acts, omissions, or terms.
10. Trademarks & No Affiliation
"Dragon", "Nuance", "Microsoft", and other marks are the property of their respective owners. We are independent and not affiliated with, endorsed by, or sponsored by those parties.
11. Payment, Trials, and Subscriptions
11.1 Free Trial
WhisperTyping offers a free tier with limited transcription minutes per 30-day rolling period. No payment information is required to use the free tier.
11.2 Paid Subscriptions
Paid subscriptions provide additional features and unlimited transcription. By subscribing, you agree to:
- Pay all applicable fees as described at the time of purchase
- Automatic renewal at the end of each billing period unless cancelled
- Provide valid payment information and keep it current
11.3 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Unless required by law, all fees are non-refundable.
12. Changes to Service Features
The features, capabilities, and technical specifications of the Software may change over time. Technology evolves, cloud providers and AI models may become unavailable, and we may need to adapt the Software accordingly. By using the Software, you acknowledge and agree that:
- We may modify, update, or replace the underlying technology, including speech recognition models, AI providers, and cloud infrastructure
- Specific features or capabilities may be added, modified, or discontinued
- We will endeavor to apply upgrades and improvements, never downgrades
- Service availability is subject to the availability of our third-party providers and cloud capacity
- We will provide reasonable notice of material changes where practicable
Our goal is to continuously improve the Software, and we strive to ensure that any changes maintain or enhance the value you receive.
13. Beta and Pre-Release Features
Some features may be labelled beta, preview, or pre-release. Such features are provided "as is", may contain defects, and may be modified, suspended, or discontinued at any time.
14. Updates
We may update the Software automatically. Some updates may be critical for security or functionality. Continued use after an update constitutes acceptance of the update and any accompanying changes to these Terms.
15. Acceptable Use
You must not misuse the Software, including by:
- Violating applicable law
- Infringing intellectual property or privacy rights
- Uploading harmful code
- Attempting to bypass security
- Using the Software to build competing products using our confidential information or non-public interfaces
- Reselling or redistributing outputs or services derived from the Software without our written consent
16. Intellectual Property
16.1 Our Rights
We and our licensors own all rights, title, and interest in and to the Software and underlying technology. Except for the licence expressly granted, no rights are transferred or implied.
16.2 Your Content
You retain ownership of any content you create using the Software. Your transcriptions and dictated text remain your property. We do not claim any ownership of your content.
17. Warranties and Consumer Guarantees
Except for any non-excludable guarantees under applicable consumer law, the Software is provided "as is" and "as available" without warranties of any kind. Where warranties cannot be excluded, our liability is limited, at our option, to resupplying the services or paying the cost of having the services resupplied.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHISPERTYPING AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, business opportunities, or goodwill
- Any damages arising from your use or inability to use the Software
To the extent liability is not excluded, our aggregate liability arising out of or in connection with the Software or these Terms is limited to the greater of (a) the amounts you paid to us for the Software in the 12 months preceding the claim, or (b) USD $100.
19. Indemnification
You indemnify and hold the Company and its officers, employees, and contractors harmless from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your content, your use of the Software, or your breach of these Terms or applicable law.
20. Service Availability and Force Majeure
The Software may be unavailable from time to time due to maintenance, upgrades, outages, or circumstances beyond our reasonable control. We do not guarantee uninterrupted or error-free operation.
We are not responsible for any delay or failure caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet disruptions, war, strikes, or third-party platform outages.
21. Suspension and Termination
We may suspend or terminate access to the Software immediately if you breach these Terms, if required by law, or to address security risks. We may also terminate for convenience by providing reasonable notice.
Upon termination, your licence ends and you must cease using the Software. Pre-paid fees are non-refundable unless required by law.
22. Export and Sanctions
You must comply with all applicable export control and sanctions laws and must not use the Software in violation of such laws.
23. Feedback
If you provide feedback, suggestions, or ideas regarding the Software, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, and incorporate such feedback without restriction or obligation to you.
24. Governing Law and Venue
These Terms are governed by the laws of the United States, without regard to conflict of laws principles. Any disputes arising from these Terms shall be resolved exclusively in the courts of Delaware, USA.
25. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and WhisperTyping regarding the Software and supersede all prior or contemporaneous agreements, communications, and understandings.
26. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
27. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
28. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
