These Affiliate Program Terms ("Affiliate Terms") govern your participation in the WhisperTyping Affiliate Program. By registering as an affiliate, you agree to these terms in addition to our Terms of Service and Privacy Policy.

1. Definitions

• "Affiliate" means the individual or entity registered in the WhisperTyping Affiliate Program.
• "Referral" means a new customer who purchases a WhisperTyping subscription through the Affiliate's unique referral link.
• "Referral Code" means the unique code assigned to or chosen by the Affiliate for tracking referrals.
• "Referral Link" means the URL containing the Affiliate's Referral Code (e.g., whispertyping.com/?ref=your-code).
• "Commission" means the percentage of net subscription revenue (after applicable sales taxes) paid to the Affiliate for qualified referrals.
• "Net Revenue" means the subscription price paid by the customer minus any applicable sales taxes, VAT, or similar government-imposed transaction taxes.
• "Qualifying Sale" means a subscription purchase made through the Affiliate's Referral Link that is not refunded, disputed, or fraudulent.

2. Program Enrollment

2.1 Application

Prospective affiliates may apply by completing the registration form. By submitting an application, you represent that:

• You are at least 18 years of age
• You have the legal capacity to enter into this agreement
• The information you provide is accurate and complete
• You will keep your account information up to date

2.2 Approval

All affiliate applications are subject to review and approval by WhisperTyping. Submitting an application does not guarantee acceptance into the program. WhisperTyping reserves the right to accept or reject any application at its sole discretion, without obligation to provide a reason. WhisperTyping chooses who may represent its brand and products.

Approved affiliates will receive a confirmation email with their referral link and program details. Until you receive this confirmation, your affiliate account is not active and no commissions will be tracked.

3. Commission Structure

3.1 Commission Rates

Affiliates earn a commission on each Qualifying Sale made through their Referral Link. Commissions are calculated on net revenue (subscription price minus applicable sales taxes):

3.2 Promotional Onboarding Commission

The current 40% commission rate is a promotional onboarding rate. Affiliates who register during this promotional period will have this rate locked in for their first year in the program. After the first year, WhisperTyping reserves the right to adjust the commission rate, though we will provide reasonable notice of any changes.

3.3 Commission Changes

WhisperTyping may change commission rates at any time. For affiliates in their first-year promotional period, the locked-in rate will generally be honored for the full first year. However, WhisperTyping reserves the right to revise commission rates — including locked-in promotional rates — under the following circumstances:

• Economic necessity: If rising costs (infrastructure, payment processing, or other operational costs) make the current commission rates commercially untenable
• Program abuse: If the affiliate program is being exploited through fraud, manipulation, or other abusive practices that undermine the program's integrity
• Regulatory changes: If changes in tax law, financial regulations, or other legal requirements necessitate rate adjustments

In such cases, WhisperTyping will provide at least 30 days' written notice before any rate change takes effect. Affiliates who do not agree with the revised rates may terminate their participation in the program.

4. Attribution and Tracking

4.1 Cookie Duration

When a potential customer clicks an Affiliate's Referral Link, a tracking cookie is placed in their browser for 90 days. If the customer purchases a subscription within this period, the sale is attributed to the Affiliate.

4.2 Last-Touch Attribution

WhisperTyping uses a last-touch attribution model. If a customer clicks multiple affiliate links before purchasing, the commission is attributed to the last affiliate whose link was clicked before the purchase.

4.3 Attribution Disputes

WhisperTyping's tracking data is the sole and final authority for determining attribution. Affiliates may not dispute attribution decisions based on their own tracking data.

5. Payouts

5.1 Minimum Payout

Commissions are paid when the Affiliate's accumulated balance reaches $250 USD. Balances below this threshold carry over to the next month.

5.2 Commission Holding Period

All commissions are subject to a 90-day holding period from the date of the referred subscription purchase. This holding period exists to account for potential chargebacks, refunds, and payment disputes, which card networks allow customers to initiate for up to 120 days. Commissions only become eligible for payout after the holding period has passed without a chargeback or refund.

5.3 Payout Schedule

When an Affiliate's accumulated balance of eligible commissions (those past the 90-day holding period) reaches the minimum payout threshold, WhisperTyping will contact the Affiliate via email to collect payment details and set up the preferred payment method. After the initial setup, payouts are processed on a monthly schedule. The first payment may be additionally delayed as we set up the Affiliate's payment flow and process payment information.

5.4 Payment Methods

Affiliates may choose from the following payout methods:

• Bank transfer (ACH or international wire)
• PayPal
• Stripe

The Affiliate is responsible for providing accurate payment information. WhisperTyping is not responsible for failed payments due to incorrect payment details. Payment method setup is initiated by WhisperTyping once the minimum payout threshold is reached.

5.5 Taxes

Affiliates are solely responsible for reporting and paying any taxes on their affiliate income. WhisperTyping may require tax documentation (such as a W-9 for US affiliates) before processing payouts.

5.6 Qualifying Sales

Commissions are only earned on Qualifying Sales. A sale is not qualifying if:

• The subscription is refunded within the refund period
• The payment is disputed or charged back
• The purchase is fraudulent or made by the Affiliate themselves
• The purchase violates the "No Self-Referrals" policy (Section 6.1)

5.7 Chargebacks and Refunds

If a referred subscription results in a chargeback or refund:

• The commission for that sale is reversed and deducted from the Affiliate's balance
• Any chargeback fees incurred by WhisperTyping (e.g., payment processor fees) attributable to the chargeback are also deducted from the Affiliate's balance
• If the Affiliate's balance becomes negative due to chargebacks, the negative balance carries forward and must be offset by future commissions before any payout is made

5.8 Fraud Prevention

WhisperTyping reserves the right to:

• Place a hold on commissions for up to 90 days if suspicious activity is detected, including but not limited to: unusually high volumes of referrals in a short period, referrals that appear to use stolen or fraudulent payment methods, coordinated purchases that are subsequently refunded, or referrals from fake or bot-generated accounts
• Claw back commissions already paid if they are later determined to have been earned through fraudulent or deceptive means
• Terminate the affiliate account immediately if the Affiliate's referrals exhibit a chargeback rate exceeding 2% or if a pattern of fraudulent referrals is identified
• Withhold all unpaid commissions if fraud is confirmed

WhisperTyping's determination of fraud is final and made at its sole discretion.

6. Prohibited Activities

6.1 No Self-Referrals

Affiliates may not use their own Referral Code or Referral Link to purchase a subscription for themselves or receive a commission on their own purchases. This includes purchases made by the Affiliate, their immediate family members, or entities they own or control.

6.2 No Brand Bidding

Affiliates may not bid on "WhisperTyping", "Whisper Typing", or any misspellings or variations of our brand name in paid search advertising (including but not limited to Google Ads, Bing Ads, and similar platforms). This restriction applies to both keyword bidding and display URL usage.

6.3 No Misleading Claims

Affiliates must represent WhisperTyping honestly and accurately. The following are specifically prohibited:

• Fake or fabricated reviews or testimonials
• Exaggerated claims about the software's capabilities
• False claims about pricing, discounts, or special offers
• Impersonating WhisperTyping or its employees
• Creating fake comparison sites or review sites designed to mislead

6.4 No Spam

Affiliates must not promote WhisperTyping through unsolicited bulk email (spam), comment spam, social media spam, or any other form of unwanted bulk messaging. All promotions must comply with applicable anti-spam laws (including CAN-SPAM, GDPR, and similar regulations).

6.5 Content Guidelines

Affiliates must not associate WhisperTyping with:

• Illegal activities or content
• Hate speech, discrimination, or violence
• Adult or sexually explicit content
• Malware, spyware, or deceptive software
• Any content that could damage WhisperTyping's reputation

6.6 No Incentivized Signups

Affiliates must not offer financial incentives (cashback, rebates, gift cards, or similar rewards) to individuals in exchange for purchasing a WhisperTyping subscription through their Referral Link. Referrals must be based on genuine interest in the product.

6.7 One Account Per Affiliate

Each individual or entity may only maintain one affiliate account. Creating multiple accounts — including to circumvent a termination, reset a negative balance, or otherwise evade these terms — is prohibited and grounds for immediate termination of all associated accounts.

6.8 No Cookie Stuffing

Affiliates must not use cookie stuffing, iframes, pop-unders, or any other deceptive technique to place tracking cookies without the user's knowledge or genuine intent to visit WhisperTyping.

7. Disclosure Requirements

Affiliates must comply with all applicable disclosure requirements, including but not limited to:

• FTC Guidelines (US): Affiliates must clearly and conspicuously disclose their affiliate relationship with WhisperTyping in all promotional content, in accordance with the FTC's Endorsement Guides.
• Local regulations: Affiliates must comply with any applicable local laws regarding affiliate marketing disclosure.

Example disclosure: "This page contains affiliate links. If you purchase WhisperTyping through my link, I may earn a commission at no extra cost to you."

8. Paid Advertising

Affiliates are permitted to promote WhisperTyping through paid advertising channels (Google Ads, Facebook Ads, Instagram, YouTube, etc.) subject to the following conditions:

• Compliance with the brand bidding restriction (Section 6.2)
• Honest and accurate ad copy (Section 6.3)
• Compliance with the advertising platform's policies
• Proper disclosure where required

9. Referral Code

9.1 Code Selection

Affiliates choose their own unique Referral Code during registration. Codes must be 3-30 characters long, using only letters, numbers, hyphens, and underscores.

9.2 Code Restrictions

WhisperTyping reserves the right to reject or reassign Referral Codes that:

• Contain or resemble the WhisperTyping brand name
• Are offensive, misleading, or inappropriate
• Infringe on trademarks or intellectual property
• Could cause confusion with official WhisperTyping communications

9.3 Case Insensitivity

Referral Codes are case-insensitive. MyCode, mycode, and MYCODE all refer to the same affiliate.

10. Intellectual Property

WhisperTyping grants Affiliates a limited, non-exclusive, revocable license to use the WhisperTyping name and logo solely for the purpose of promoting WhisperTyping as part of the affiliate program. Affiliates must:

• Not modify or alter the WhisperTyping logo
• Not use WhisperTyping trademarks in domain names
• Not imply any official partnership, endorsement, or employment relationship beyond the affiliate arrangement

11. Termination

11.1 By the Affiliate

Affiliates may terminate their participation in the program at any time by contacting us. Unpaid commissions above the minimum threshold will be paid in the next payout cycle.

11.2 By WhisperTyping

WhisperTyping reserves the right to terminate any affiliate account at any time, with or without cause. Grounds for immediate termination include, but are not limited to:

• Fraud, deception, or manipulation of the affiliate program
• Any breach of these Affiliate Terms
• Violation of WhisperTyping's ethical standards, including association with harmful, misleading, or illegal content
• Excessive chargeback rate (above 2%)
• Any conduct that damages or could damage WhisperTyping's reputation

In the event of termination:

• For convenience (no fault): Unpaid commissions above the minimum threshold will be paid in the next payout cycle, subject to the standard holding period.
• For cause (fraud, breach of terms, or violation of ethical standards): WhisperTyping reserves the right to withhold all unpaid commissions and to claw back commissions already paid if they were earned through fraudulent or prohibited means.

11.3 Effect of Termination

Upon termination, the Affiliate must:

• Immediately stop representing themselves as a WhisperTyping affiliate
• Remove all WhisperTyping affiliate links and promotional materials
• Cease use of WhisperTyping trademarks and logos

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHISPERTYPING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE AFFILIATE PROGRAM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

WhisperTyping's total liability under these Affiliate Terms shall not exceed the total commissions paid to the Affiliate in the 12 months preceding the claim.

13. Indemnification

Affiliates agree to indemnify and hold harmless WhisperTyping and its officers, directors, employees, and contractors from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• The Affiliate's promotional activities
• Violation of these Affiliate Terms
• Violation of applicable laws or regulations
• Any claims by third parties related to the Affiliate's marketing activities

14. Modifications

WhisperTyping may modify these Affiliate Terms at any time. Material changes will be communicated via email to the address on file. Continued participation in the program after notification of changes constitutes acceptance of the modified terms.

15. Governing Law

These Affiliate Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws principles. Any disputes arising from these terms shall be resolved exclusively in the courts of Wyoming, USA.

16. Severability

If any provision of these Affiliate Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

17. Entire Agreement

These Affiliate Terms, together with the WhisperTyping Terms of Service and Privacy Policy, constitute the entire agreement between the Affiliate and WhisperTyping regarding the affiliate program.
